Stock Split
Purpose of Stock Split
By reducing the investment unit of the Company’s shares, we aim to create an environment that makes investment easier, broadens the investor base, and enhances the liquidity of the Company’s shares.
Summary of Stock Split
With September 30 (Wednesday) 2026 at the record date, we will conduct a stock split at a ratio of 5 shares for every 1 share of common stock held by shareholders listed in the shareholder registry at the close of business on that date.

Dividends
Since the date of effect for this stock split is October 1, 2026, the interim dividend for the fiscal year ending in March 2027 will be based on shares of the Company’s common stock prior to the stock split, with September 30, 2026 as the record date.

With gratitude to our shareholders for their continued support, and to make investing in the Company’s stock more attractive and encourage more people to hold shares over the medium to long terms, we are introducing a shareholder benefits program.
The details of the benefits program are as follows.
Shareholder Benefit Details
By presenting shareholders with our up-cycle brand Re-S products and inviting them (via drawings) to Company sport and business events, we hope that they will gain a deeper understanding of our business operations.
We will present these gifts based on the number of shares held by eligible shareholders as of March 31 of each year (the record date), as described below.
Please note that that number of shared held is based on the number of shares after the stock split.
Re-S products
As part of efforts to reduce waste, we are developing products that use remnants from the production of automotive parts such as airbags and steering wheels. These products are marketed under our Re-S brand, and will be presented to eligible shareholders based on the number of shares held.

Company events
We will invite eligible shareholders to events such as sports games and facility tours with drawings for tickets. This offer will be open to eligible shareholders who hold 500 or more shares. These shareholders may select one event from the list below (tentative).

Eligible Shareholders
This program is open to shareholders who have continuously held 100 or more shares of the Company’s stock for at least one year, as recorded in the shareholder registry as of March 31 of each year (the record date).
Note that “continuous holding for at least one year” is where, under the same shareholder number, the shareholder is recorded as holding 100 or more shares at least three consecutive times in the shareholder registry: on September 30 and March 31 of the preceding year and March 31 of each year serving as the record date.

Shareholder benefits will be presented to shareholders who have held 100 or more shares for one year or more.

■ Special measures for first year (record date March 31, 2027)
For the benefits presented based on the record date of March 31, 2027, the first year of this program, eligible shareholders will be those who have held shares for at least six months and who are recorded twice consecutively as holding 100 or more shares under the same shareholder number in the shareholder registry as of September 30, 2026 and March 31, 2027.

- Note: As announced on April 28, 2026, the Company will implement a 5-for-1 split of common stock, effective October 1, 2026. For the purpose of determining continuous ownership based on the shareholder registry as of September 30, 2026, holdings of 20 shares or more will be treated as holdings of 100 shares or more.

The system will be implemented for eligible shareholders listed in the shareholder registry as of March 31, 2027.
Timing of Announcements on Product Giveaways and Events
(Event Overview, How to Apply, and Drawing)
We plan to begin sending out Re-S products in June 2027, as they become available. We plan to mail event details, including overviews, application procedures, and information on the drawings, around July 2027. The events will take place from September 2027. Event details (such as content, number of games, venue, and number of invitees) are subject to change.
Frequently Asked Questions
Regarding Stock Split
- What will this split do to shares held?

The number of shares held will increase five-fold, but the asset value per share will theoretically become one-fifth. Therefore, the total asset value of the shares held will not change as a result of the stock split itself.
- Are any procedures required of shareholders in connection with the stock split?

No special procedures are required of shareholders with regard to either Toyoda Gosei or their brokerage firm.
- I hold these shares in a NISA account. Will this stock split have any impact?

No special procedures are necessary. Nor will there be any effect on the calculation of the tax-exempt holding period or the tax-exempt investment limit.

1Purpose and background for the introduction of a shareholder benefit system
- Why is a shareholder benefit system being introduced at this time?

Up to this time, we have focused on returning profits to shareholders through dividends. Now we have decided to introduce a program with the goal of encouraging more individual investors to become supporters of the company over the medium to long term. We hope this program will help investors gain a deeper understanding of our business activities and efforts for the SDGs (Re-S products and more).
- Won’t the program be discontinued as soon as business performance declines?

We see shareholder benefits as an important way to reward shareholders who hold our stock over the medium to long term. Similar to our dividend policy (a target dividend on equity of 3.5% and stable, continuous dividend increases), we intend to continue this program with a long-term perspective.
2Eligibility requirements and minimum holding period for shareholder benefits
- What exactly does “continuous holding for at least one year” mean?

Using March 31 of each year as the record date, this refers to a situation where a shareholder is listed in the Company’s shareholder registry on September 30 and March 31 as holding 100 or more shares under the same shareholder number for at least three consecutive times.
Note: As a special provision for the first fiscal year (with a record date of March 31, 2027), this refers to a situation where a shareholder is listed under the same shareholder number in the shareholder registry two consecutive times, as of September 30, 2026 and March 31, 2027.
- If I sell my shares and then buy them back later during a certain period, will that be considered continuous ownership?

If your “shareholder number” in the shareholder registry changes, your shares will not be considered continuously held. Please note that your number may also change if you use a brokerage firm’s stock lending service or if the account holder’s name changes as a result of inheritance or other reasons.
3Relationship with stock split
- How will the eligibility requirements for shareholder benefits change as a result of the 1-for-5 stock split effective October 1, 2026?

All “number of shares held” figures listed in the timely disclosure materials are based on the post-split figures. For example, the minimum requirement of “100 shares or more” is equivalent to 20 shares when converted to the pre-split share count (through the end of September, 2026).
4Benefit details (Re-S products, events)
- What kind of products are Re-S, the gift items in this program?

They are original, up-cycled products made using fabric for airbags and leather remnants from steering wheels, two of our main products. The high durability of materials used in automotive parts is a feature of Re-S. These products were selected so that shareholders can feel our manufacturing approach with the aim of zero waste.

- Does the Re-S content change depending on the number of shares held?

Yes. We have established tiers based on the number of shares held: 3,000 shares or more (products worth 30,000 yen), 500 shares or more (products worth 5,000 yen), and 100 shares or more (products worth 1,000 yen). We will announce the specific products as soon as they are determined.
- How do I apply for the event (company team games or facility tours) drawings?

We plan to send an “Application Guide” to shareholders with 500 or more shares around July 2027. We anticipate that shareholders will use these guides to select and apply for their preferred event (one date from among volleyball or handball games or a facility tour).
5Shipping and procedures
- When will the gift items (Re-S) arrive?

We plan to send out gift items as they become available, starting from June.
- I live outside Japan. Will you ship gift items to me?
